S-Corporation



An S-Corporation is similar to a Corporation though it is organized under Subchapter S of the Internal Revenue Code. An S-Corporation has limits on the numbers and types of the owners, though if the corporation qualifies, it may enjoy pass-through taxation where income is treated as earned by the shareholders, and is not generally taxed as such to the business. Depending on how it is formed, an S-Corporation may or may not have all of the structural and documentation requirements of a Corporation.
